Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") form a legally binding agreement between you and ZoalTech Limited, an Irish company that operates the Ferrum platform ("Ferrum", "we", "our", "us"). They govern your access to and use of the Ferrum mobile app, the Ferrum coach portal at cp.ferrumapp.com, our marketing site at ferrumapp.com, and any other software, content, or services we provide (together, the "Service"). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

Some Ferrum apps are distributed under a coach's own brand. Even when the app appears white-labeled, the underlying Service is operated by Ferrum and these Terms apply.

2. What Ferrum Is

Ferrum is a software platform that lets independent fitness coaches and creators ("Coaches") publish workout programs, exercises, and instructional videos to their audience ("Users"). Ferrum provides the technology — content is created and owned by Coaches, and any fitness, nutrition, or training advice you receive comes from those Coaches, not from Ferrum.

Ferrum is not a gym, a medical provider, a personal trainer, or a healthcare professional, and we do not employ or supervise the Coaches who use the platform.

3. Eligibility

  • You must be at least 13 years old (16 in the European Economic Area and the United Kingdom) to use the Service.
  • If you are under the age of majority in your jurisdiction, you may only use the Service with the consent and supervision of a parent or legal guardian.
  • You must provide accurate, current, and complete information when creating an account, and keep it up to date.
  • You may not use the Service if we have previously banned you or if doing so would violate any applicable law.

4. Your Account

  • You are responsible for all activity that occurs under your account.
  • Keep your sign-in email and any magic-link emails confidential. Do not share access to your account.
  • Notify us immediately at support@ferrumapp.com if you suspect unauthorized access.
  • We may suspend or terminate accounts that violate these Terms or that we reasonably believe are involved in fraud or abuse.

5. Subscriptions, Purchases, and Payments

Subscription Plans

Some features of the Service are available only with a paid subscription. The price, billing frequency, and any free trial will be disclosed at the point of purchase. Unless stated otherwise, subscriptions automatically renew at the end of each billing period at the then-current price until cancelled.

Purchase Channels

Subscriptions can be purchased through one of three channels:

  • Apple App Store (iOS in-app purchase): billed by Apple. Renewal, refunds, and cancellation are governed by Apple's Media Services Terms. Manage or cancel via your Apple ID subscription settings.
  • Google Play (Android in-app purchase): billed by Google. Renewal, refunds, and cancellation are governed by Google Play's terms. Manage or cancel via the Play Store.
  • Web (Stripe): billed directly by Ferrum through Stripe. You can cancel or reactivate from inside the app at any time; cancellation takes effect at the end of the current billing period.

Refunds

For App Store and Google Play purchases, refund requests must be made through Apple or Google respectively. For Stripe purchases, contact support@ferrumapp.com; we evaluate refund requests on a case-by-case basis and have no obligation to provide refunds except where required by law.

Coach Payouts

Coaches who sell subscriptions through Ferrum receive payouts via Stripe Connect. Ferrum retains a platform fee of 20% of each web-channel payment, plus any processing fees charged by Stripe. Payouts, taxes, and reporting obligations are the Coach's responsibility. App Store and Google Play purchases are subject to those platforms' commission structures, which are deducted before Ferrum receives funds.

Price Changes

We may change subscription prices. We will give you reasonable notice before a change takes effect, and you may cancel before the change applies.

6. Content and Licenses

Content Owned by Coaches

Coaches retain ownership of the programs, exercises, videos, images, and text they upload ("Coach Content"). By uploading Coach Content, the Coach grants Ferrum a worldwide, non-exclusive, royalty-free license to host, store, transcode, distribute, display, and deliver that Coach Content to Users for the purpose of operating the Service. This license ends when the Coach removes the content, except for backups retained for a reasonable period and copies that have already been delivered to subscribed Users.

Coach Warranties

Coaches represent and warrant that they own or have all rights necessary to upload and license their Coach Content, that the content does not infringe any third-party rights, and that the content complies with applicable laws.

Your User Content

Information you generate by using the app — workout history, progress, notes, profile — belongs to you. You grant Ferrum a license to process this information as needed to operate the Service for you and as described in our Privacy Policy.

Ferrum's Intellectual Property

The Ferrum name, logo, app, website, design, and software are owned by Ferrum and protected by intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, scrape, or create derivative works of the Service except as expressly permitted.

7. Acceptable Use

You agree not to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose.
  • Upload content that is infringing, defamatory, harassing, hateful, sexually explicit, or that promotes violence or self-harm.
  • Misrepresent your identity or affiliation, or use someone else's account.
  • Re-distribute, share, or resell Coach Content outside the Service, including by downloading and re-uploading videos.
  • Attempt to bypass authentication, paywalls, signed URLs, or any other security or access control.
  • Probe, scan, or test the vulnerability of any part of the Service without our written permission.
  • Use bots, scrapers, or automated tools to access or extract data from the Service.
  • Interfere with the Service's operation or impose an unreasonable load on our infrastructure.

We may remove content and suspend or terminate accounts that violate these rules.

8. Health and Fitness Disclaimer

Read this carefully. Ferrum and the content delivered through the Service are for general informational and educational purposes only. They are not a substitute for professional medical advice, diagnosis, or treatment.

  • Consult a qualified healthcare professional before starting any new exercise program, especially if you are pregnant, have a medical condition, or are recovering from injury.
  • If you experience pain, dizziness, shortness of breath, or any other concerning symptom while exercising, stop immediately and seek medical attention.
  • You participate in any workout, program, or activity at your own risk.
  • Results vary from person to person. We do not guarantee any particular outcome, weight loss, performance gain, or other result.

9. Coach–User Relationships

When you subscribe to a Coach's content, your relationship for that content is between you and the Coach. Ferrum is not a party to that relationship and is not responsible for the quality, accuracy, safety, or legality of any Coach Content. Disputes between Users and Coaches should be resolved directly with the Coach. Ferrum may, but is not obligated to, help mediate.

10. Termination

You may stop using the Service at any time. You can cancel a subscription through the appropriate channel (App Store, Play Store, or in-app for web subscriptions) and request deletion of your account by emailing support@ferrumapp.com.

We may suspend or terminate your access to all or part of the Service at any time, with or without notice, if we believe you have violated these Terms, if your account creates legal, security, or operational risk for us, or if we discontinue the Service. Sections intended to survive termination (including those on Content, Disclaimers, Limitation of Liability, and Dispute Resolution) will continue to apply.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING (BUT NOT LIMITED TO) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DATA WILL BE ACCURATE OR PRESERVED WITHOUT LOSS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FERRUM AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID FERRUM IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) USD $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THESE LIMITS MAY NOT APPLY TO YOU.

13. Indemnification

You agree to defend, indemnify, and hold Ferrum harmless from any claim, demand, loss, damage, or expense (including reasonable legal fees) arising out of (a) your use of the Service, (b) your violation of these Terms, (c) content you submit, or (d) your violation of any third-party right or applicable law.

14. Apple App Store and Google Play Terms

If you downloaded the app from the Apple App Store, you acknowledge that these Terms are between you and Ferrum, not Apple, and that Apple is not responsible for the app or its content. You agree to comply with the Apple Media Services Terms and the Usage Rules of the App Store, and Apple is a third-party beneficiary of these Terms with respect to the iOS app. The same applies analogously to Google Play if you downloaded the app from Google Play.

15. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date and, for material changes, give you reasonable notice (for example, in the app or by email). Your continued use of the Service after the update means you accept the revised Terms. If you do not agree, stop using the Service.

16. Governing Law and Disputes

These Terms are governed by the laws of Ireland, without regard to its conflict-of-law principles. Any dispute arising out of or related to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ireland, except that either party may seek injunctive relief in any court of competent jurisdiction. Nothing in these Terms affects your statutory rights as a consumer that cannot be waived under applicable law, including your right to bring proceedings in the courts of your country of residence within the European Union.

17. Miscellaneous

  • These Terms, together with our Privacy Policy, are the entire agreement between you and Ferrum regarding the Service.
  • If any provision is found unenforceable, the remaining provisions remain in effect.
  • Our failure to enforce any right is not a waiver of that right.
  • You may not transfer or assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
